An exciting opportunity has arisen for a Corporate Legal Counsel to join a dynamic in-house legal team in Cheshire, supporting a global leader in environmental, engineering, and technical services. This is an ideal role for a corporate lawyer looking to transition client-side and make a real impact on major transactions in a growing, internationally active business. You’ll be advising on high-value UK and cross-border transactions, working closely with senior leaders in a fast-paced, collaborative setting.

What You’ll Do

You’ll provide strategic legal advice across a wide range of corporate transactions and commercial matters, acting as a trusted advisor to senior stakeholders. Your work will span the full deal lifecycle, from structuring and negotiation to integration and compliance.

This is a hands-on role requiring both technical excellence and strong commercial acumen. You’ll also contribute to continuous improvement within the legal function, ensuring the business is equipped to respond to evolving regulatory and market demands.

Key responsibilities include:

  • Advising on mergers, acquisitions, disposals, joint ventures, and investments across multiple jurisdictions.

  • Drafting, reviewing, and negotiating a variety of commercial contracts and transaction documents.

  • Supporting due diligence and identifying key legal risks and practical solutions.

  • Engaging with stakeholders to provide clear, commercially focused advice.

  • Supporting post-acquisition integration and helping manage ongoing contractual obligations.

  • Advising on corporate governance, compliance, and company secretarial matters.

What You Bring

You’ll be a qualified lawyer with a strong foundation in corporate law and experience of managing complex transactions from start to finish. Whether your background is in private practice or in-house, you’ll combine legal expertise with a pragmatic, business-minded approach.

Strong interpersonal skills are key—you’ll need to build trusted relationships across the business, work effectively under pressure, and communicate complex legal issues clearly and concisely.

You will ideally have:

  • Qualification as a solicitor in England & Wales, with 4+ years’ PQE.

  • Solid experience advising on M&A and corporate transactions.

  • Sound understanding of company law and commercial contracts.

  • Experience working in fast-paced environments, balancing risk and commercial objectives.
