Our client, a specialist investment manager, is looking for a Funds Lawyer with some experience in ESG, Infrastructure and/or Renewables for an exciting position in their Legal team in London. You will support in fund formation and launches, as well as advising on the evolving regulatory landscape and be an integral stakeholder in the business.
Job Responsibilities include: • Facilitate various legal aspects related to capital raising, new product launches, and fund lifecycle. • Establish new corporate entities and fund vehicles, if necessary, and provide assistance in group restructurings or entity dissolutions. Maintain group structure charts and handle related company secretarial tasks. • Project manage legal work streams for new funds and management accounts, overseeing the closing of new investor commitments. This includes drafting necessary documentation based on precedents, obtaining internal approvals, and managing signatures. • Draft and review term sheets, investment management agreements, LPAs, and make amendments to existing fund documentation. • Collaborate with various departments such as product development, compliance, finance, operations, sales, and investment teams to support the structuring and formation of new products and vehicles. • Address queries from other departments regarding the terms of existing fund documentation. • Manage the internal risk factor bible and assist with updating regulatory disclosures, product governance, and target market assessments. • File all final documentation on the relevant shared team site. • Provide support for intra-group arrangements including sub-advisory agreements, distribution agreements, and services agreements. • Establish investment level documentation and entities, such as bidding vehicles, equity commitment letters, shareholder agreements, subscription agreements, and shareholder loans (both listed and unlisted). • Handle ancillary tasks, including preparing or reviewing NDAs, engagement letters, secondment agreements, and assisting with KYC requests.
