Our client, a global investment manager, is currently seeking a solicitor to join their dynamic London Legal team, with direct reporting to the Head of Legal UK and Co Head of EMEA. The ideal candidate will play a pivotal role in supporting various facets of the firm's operations, encompassing tasks such as facilitating the onboarding process for new institutional clients, overseeing corporate governance within the UK and European group, and collaborating closely with the Compliance team to assess and implement legislative changes. In alignment with the collaborative nature of the firm's broader Legal and Compliance department, the successful candidate will engage with team members based in London, the US, Luxembourg, and other locations around the world.
The candidate will undertake the following responsibilities: • Engage in negotiations of investment management agreements and associated documentation with clients. • Review investment guidelines. • Negotiate broker terms of business. • Offer guidance on marketing requests for alternative investment funds concerning prospects in the UK, Europe, and the Middle East. • Provide legal support to portfolio management, administration teams, and trading desks. • Conduct research on regulatory matters in the UK and Europe, particularly related to new product or business initiatives. • Obtain and maintain licenses for asset management overseas. • Establish and manage foreign subsidiaries, branch offices, and representative offices. • Assist in corporate governance and company secretarial duties for the Boards and Committees of the firm and other entities within the firm's group. • Draft and negotiate contracts with vendors and service providers. • Prepare instructions to counsel in connection with the aforementioned tasks.
Skills/experience required: • A minimum of 3 years' experience at a reputable city law firm and/or within an asset management organisation. • Strong drafting skills. • Excellent oral communication and interpersonal skills with considerable exposure to and ability to understand the perspective of clients and needs of business persons. • Experience of implementing and advising the business on UK and European legislation and regulations. • Ability to multi-task, trouble-shoot, and work well with multiple departments/sources of information to resolve complex issues within a tight framework. • General knowledge of financial services law and regulation as well as company/commercial law. • IT literate with a good knowledge and high degree of competency in the use of Microsoft Word, Microsoft Excel and PowerPoint.
